1) Acceptance of Terms
By accessing this website (the “Site”) or purchasing/booking our services (the “Services”), you agree to these Terms. If you do not agree, please do not use the Site or Services.
2) Who We Are & What We Do
Aerian provides professional drone services (photogrammetry, mapping, inspections, media capture, and data processing) and training (TP 15263 ground school and Flight Reviews). We operate in accordance with applicable aviation laws and local regulations. Nothing here creates a partnership, employment, or agency relationship.
3) Website Use
You may not misuse the Site (e.g., attempt to gain unauthorized access, introduce malware, scrape content, or infringe IP).
We may change or discontinue the Site at any time without notice.
4) Intellectual Property (Site Content)
All Site content (text, images, logos, layouts) is owned by Aerian or licensed to us and protected by IP laws. You may not reproduce, publish, or modify it without our written permission.
5) Bookings, Payments & Cancellations
Payments. Online payments are processed by third-party processors. We don’t store full card details. Your booking is confirmed once payment (or deposit, if offered) is received and you receive a confirmation email.
6) Training Terms (TP 15263 Ground School & Flight Review)
Eligibility. You’re responsible for meeting Transport Canada requirements (age, ID, citizenship/residency, etc.).
Exam Fees. Government exam fees are not included unless stated.
No Guaranteed Outcome. We provide instruction and coaching, but we cannot guarantee you will pass the Advanced exam or the Flight Review.
Flight Review. Unsafe operation, impairment, or non-compliance may result in termination without refund.
Re-tests. If a re-test is needed, standard re-test fees apply.
7) Site Access, Permissions & On-Site Safety (Field Work)
Client must ensure safe ground conditions, legal site access, and all required permissions. We may refuse or halt flights if conditions are unsafe or non-compliant (e.g., crowd proximity, obstacles, EM interference, restricted airspace).
8) Deliverables, Data & Accuracy
Scope. Deliverables are defined in your written quote or SOW (e.g., orthomosaics, 3D models, point clouds, reports).
Accuracy. Photogrammetry accuracy depends on sensor specs, flight parameters, ground control, environment, and processing. Our outputs are decision-support products and not a legal land survey.
Turnaround. Estimated delivery timelines are targets, not guarantees (weather, access, data size, revisions can affect timing).
9) Ownership & License (Project Deliverables)
Upon full payment, you own the specific Deliverables we provide (e.g., images, maps, reports) for your internal and client-facing business use. Aerian retains: (a) all pre-existing IP, software, methods, and workflows; (b) If the project includes third-party content (e.g., basemaps), your use must follow that provider’s license.
10) Client Materials & Confidentiality
If you give us data, you confirm you have the rights to share it and that it doesn’t violate third-party rights. We’ll treat non-public information as confidential and use it only to perform the Services.
11) Acceptable Use (Training & Services)
No unlawful uses. No hazardous or restricted items on site. No flying near emergency operations or in prohibited airspace. You must follow all safety instructions provided by Aerian personnel.
12) Warranties & Disclaimers
The Site and Services are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties (express or implied) including fitness for a particular purpose, non-infringement, and accuracy of third-party data.
13) Limitation of Liability
To the maximum extent permitted by law, Aerian and its personnel will not be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim related to the Services is capped at the fees you paid for the affected Services in the 12 months before the claim arose.
14) Indemnity
You agree to defend and indemnify Aerian from claims arising out of: (a) your misuse of the Site or Services, (b) your breach of these Terms, (c) materials or instructions you provided.
15) Third-Party Links & Tools
Links to external sites or tools are provided for convenience only. We’re not responsible for their content, terms, or privacy practices.
16) Force Majeure
We’re not liable for delays or failures caused by events beyond our reasonable control (e.g., severe weather, power or network outages, government actions).
17) Changes to These Terms
We may update these Terms from time to time. The new version applies when posted on the Site with the updated “Last updated” date.
18) Governing Law & Disputes
These Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-laws rules. Venue and jurisdiction: Toronto, Ontario courts. Before filing a claim, the parties will try in good faith to resolve the issue within 30 days.
